Autobot CRM Software Subscription & Compliance Agreement

1. Subscription & Services Provided

Autobot CRM provides cloud-based client relationship management, marketing automations, scheduling, and communication tools designed specifically for independent insurance agents, agencies, and marketing organizations. Access to the software is provided on a recurring subscription basis according to the plan selected by the customer.

2. Communication Usage and Pass-Through Charges

The monthly software subscription fee covers access to the software platform, standard onboarding, prebuilt automations, and tech support. Communication activity—including, but not limited to, SMS messages, MMS messages, outbound and inbound voice minutes, phone number leasing, A2P 10DLC carrier registration fees, conversational AI minutes, and email volume—is subject to separate usage charges based on actual consumption. Usage is deducted from the customer's prepaid balance and billed at wholesale pass-through rates.

3. Optional Growth Services (Inbound Calls & Direct Mail)

Optional growth services such as Inbound Call Leads and Direct Mail Postcard fulfillment are separately purchased services. Inbound call pricing varies by line of authority — Medicare calls start at $17 per call, ACA calls start at $48 per call, Final Expense calls start at $26 per call, and Under 65 (non-ACA) calls start at $40 per call — with final per-call pricing also varying by state, buffer length, and vendor conditions. Inbound call leads are fulfilled through a third-party lead-generation vendor partner; Autobot CRM does not control the vendor's pricing, call volume, or availability, and all per-call pricing is subject to change based on current vendor rates and market conditions. Direct Mail Postcard fulfillment starts from $0.89 per piece including USPS postage for qualifying volumes. These services are not automatically included in monthly software subscriptions and are billed strictly when ordered.

4. Proprietary Systems and Intellectual Property

All proprietary marketing snapshots, automated campaign architectures, workflows, scripts, and software configurations developed by Autobot CRM are the exclusive intellectual property of Autobot CRM. Customers are granted a revocable, non-exclusive license to use these assets within their active account. Customers may not export, duplicate, resell, or distribute Autobot proprietary workflows outside of the platform. Customer contact databases, policyholder notes, and uploaded business records remain the sole and exclusive property of the customer at all times.

5. Cancellation and Refund Policy

Autobot CRM subscriptions do not require long-term contracts. Subscriptions may be canceled at any time prior to the next scheduled renewal date directly through the Billing section inside your Autobot CRM software dashboard or by texting a cancellation request to 615-887-3861. Text cancellation requests are processed within 24–48 business hours. Upon cancellation, access continues until the end of the paid billing cycle. Because software access and onboarding resources are provisioned immediately, subscription fees and consumed third-party usage fees are non-refundable. Customers may export their full contact lists prior to account termination.

6. Regulatory Compliance & Marketing Disclaimers

Autobot CRM provides marketing technology. Autobot is not an insurance agency and does not provide regulated insurance advice. Customers remain solely responsible for ensuring that their marketing campaigns, Scopes of Appointment (SOA), text messages, and telephone communications comply with all applicable state insurance laws, CMS Medicare Marketing Guidelines, TCPA, CAN-SPAM, federal and state Do-Not-Call requirements, and carrier regulations. Autobot-provided templates and campaigns are starting points and do not constitute legal or compliance advice.

7. HIPAA & Data Privacy

Autobot CRM is designed and operated to support businesses subject to privacy and data-security requirements, including HIPAA, and provides HIPAA-enabled safeguards and functionality for applicable services and configurations. Use of a HIPAA-enabled platform does not, by itself, make your business HIPAA compliant — compliance involves your own policies, procedures, access controls, and authorizations. When a Business Associate Agreement (BAA) is legally required, it must be in place before you use applicable services to store or transmit Protected Health Information (PHI). You should not enter PHI into third-party integrations or AI tools unless you have confirmed that the configuration is appropriate for that information.

8. Artificial Intelligence & Acceptable Use

Autobot CRM may provide optional artificial intelligence features, including AI-assisted writing, chat, voice, appointment scheduling, and automation. AI-generated information may occasionally be inaccurate, incomplete, or inappropriate. You remain responsible for configuring, supervising, and using AI tools appropriately and for any communications delivered through your account by AI. Where applicable law or industry requirements require disclosure that a consumer is interacting with AI, you are responsible for ensuring that disclosure is made. AI tools should not be relied upon to independently provide legal, medical, tax, financial, or insurance-coverage advice. AI usage charges are separate from the software subscription unless expressly included in your plan.

9. No Guarantee of Business Results

Autobot CRM provides software, technology, marketing tools, training, and support. Autobot does not guarantee any particular number of leads, appointments, sales, commissions, recruits, customer responses, revenue, or regulatory or telecommunications approvals. Results depend on numerous factors outside Autobot's control, including your market, advertising, offers, sales skills, responsiveness, licensing, compliance, budget, and use of the platform.

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Except where prohibited by law, disputes are resolved in accordance with the binding arbitration and class-action-waiver provisions in Autobot's Terms of Service. The applicable arbitration location is Nashville, Tennessee unless otherwise agreed in writing.
